Totally Independent Directors Limited
has been formed in recognition of the increasing requirement for a
new breed of non-executive director. The founders believe it is no longer
enough to be a well-known name or thought suitable by the Chairman to
qualify for such an appointment. Recent corporate scandals both in the UK
and internationally, together with the Higgs,
Tyson
and Smith reports, have highlighted this. Not only should a director
be independent, but he or she must be seen to be appointed independently.
Our appointment process will meet the demand for appropriate candidates by
carrying out individual and fresh assignments without recourse to tired
databases. The candidates for whom we search and identify will be
experienced senior directors who are keen to work in different fields.
Profile of a Totally Independent Director
We believe companies should be looking for external
directors with experience of specific situations. They must be
able to assess a company’s problems, opportunities and requirements
independently and objectively on behalf of all shareholders. Their
particular experience might include preparing a company for an IPO, a trade sale,
contacts with financing institutions or the management issues associated
with growing second-generation family companies.
Totally Independent Directors will be non-executive and
external, therefore not former executives of the company. He or she will
be appointed by the non-executive directors (not executive management)
through a proper search and selection process and be subject to an
interview by a Committee of the Board. They will be devoid
of any vested interest and not associated with the Chairman or Managing
Director (golf club, school, ‘worked with him before’ etc.).
They will be sufficiently secure financially for the fee not to represent
a substantial percentage of their income and be appointed for a maximum
term of six years.
Totally Independent Directors
will have at least
five years board or equivalent experience either in the UK
or overseas with exposure to general management and strategic and
financial planning. With their background, they should offer and contribute more
than a traditional non-executive director due to their background, total
independence and particular experience.
Totally Independent Directors Limited,
when appointed, will also provide comfort to existing shareholders and
outside parties such as banks. They will give input on financing
options, future corporate structures and the strategic direction of the
company. They will also ensure the corporate governance of the
company is managed correctly and that all statutory and legal obligations
are fulfilled.

Directors Limited will conduct a Board audit by analysing the
company, its board structure, composition and requirements. We will
confirm the competencies required and then carry out a discreet search.
This will identify individuals with the requisite skills and experience
who fit the company’s profile and specific requirements. At all
times, we will manage the process in a simple and efficient manner.
Fees will be based on an agreed percentage of the first year’s
remuneration.
The Founders of
Totally Independent Directors Limited
Gordon Miller
is a
Scottish Chartered Accountant with 35 years board experience in financial
and general management with international companies. He has acted as an
executive and non-executive director and Chairman of a number of public
and private companies including having been Chairman of a specialist
recruitment company. For the last 15 years, he has run a successful
corporate finance business specialising in offering financial and
strategic advice to SMEs.
Nicholas Smith is a Chartered
Accountant with a long-term career both in corporate finance and as a CFO
of a large Asian investment bank. He has operated in executive and
non-executive capacities in Europe and
Asia, including being Chairman of the Audit Committee of a large stockbroker.
